The successful constitution of an LLC requires, at least:

o One director who must be Congolese or have resided at least two years in the Republic of the Congo.
o A shareholder who may have any nationality or place of resident. Plus, it can be a natural or legal person.
To complete the commercial configuration, this entity requires a minimum capital of US$ 1,100. The LLC is obligated to appoint a legal auditor, only if:
o It has a share capital greater than $110,000.
o An annual turnover exceeding $275,000.
o Or if it has more than 50 employees on a permanent basis.

Another form of company available is the Public Limited Company of Congo (PLC), this type of entity is recommended for investors who need to finance through the issuance of shares. This entity requires at least one director who must have resided in the Congo for at least two years and a shareholder who may be a natural or legal person.

A Public Limited Company in the Republic of the Congo is obliged by law to entrust the services of a public notary and to appoint a legal auditor in the constitution.
