At the outset you should know that the main law that controls the creation and incorporation of companies in Uganda is the Companies Act of 2012.

Currently there are several ways of doing business in Uganda and the most common is the creation of a Limited Liability Company LLC.

This type of entity is recommended for taking the first steps into the local Ugandan market. Following the passage of the 2012 Act, a limited liability company in Uganda requires a minimum of two directors and one shareholder. Although all Ugandan companies must have a company secretary, there is no qualification requirement for company secretaries of limited companies.

Note that LLCs in Uganda must include the term Limited or Ltd, at the end of their names to complete the company's incorporation.

This form is the most common in Uganda and according to the legal regulations it is not allowed to offer shares to the public and does not require a minimum paid up capital for incorporation.

A Limited Liability Company LLC in Uganda can be wholly foreign owned.

How to Register a foreign company in Uganda?

The procedure for registering a foreign company in Uganda differs from the procedure applicable to domestic companies. 

To register a foreign company, the applicant must submit a certified copy, drafted in English, of the company's articles of incorporation; a list of the directors and secretary; a statement of outstanding charges, such as mortgages; and the name and address of a person in Uganda authorized to act on behalf of the company.

The registration fee is US$470. It generally takes six weeks to incorporate a company, which can take up to six months in some cases.
