How to set up a Zambian Limited Liability Company

A Zambian LLC, also known locally as a private company limited by shares, is the entity most commonly used by investors starting an SME in Zambia.

It requires two shareholders and must appoint at least two directors who can be of any nationality. However, one of the directors must reside in Zambia.

The minimum share capital required when incorporating a Zambian private company limited by shares is ZMW15,000 or US$1,000.

Please note that all Zambian companies are subject to a standard corporate tax rate of 35%.

Companies formed in Zambia must also pay social security and unemployment insurance contributions of 9% of gross wages. And such companies may carry forward their losses for up to 10 years, for accounting purposes.
